Liability Waiver

1. What ChemSweep Is — and Isn't

ChemSweep Solutions LLC ("ChemSweep") provides software that helps dental offices organize, digitize, and cross-reference Safety Data Sheets (SDS) and chemical inventory information for OSHA Hazard Communication Standard (29 CFR 1910.1200) recordkeeping purposes. ChemSweep is an organizational tool, not a compliance guarantee, and not a substitute for professional safety, legal, or regulatory advice.

2. Assumption of Risk

Customer expressly acknowledges that use of the ChemSweep platform is entirely at Customer's own risk. Customer assumes full responsibility for any risks associated with reliance on data, extractions, matches, or reports generated by the platform.

3. Disclaimer of Warranties

The ChemSweep platform is provided "as is" and "as available," without warranty of any kind. ChemSweep does not warrant that extracted or displayed data will be accurate or complete.

Any AI-assisted extraction of chemical names, CAS numbers, hazard classifications, or first-aid measures is a convenience feature only. Customer remains solely responsible for verifying displayed information against the actual manufacturer SDS.

4. No Guarantee of Regulatory Compliance

Use of ChemSweep does not guarantee your office will pass an OSHA inspection or avoid citations. Compliance with OSHA's Hazard Communication Standard remains your office's sole legal responsibility as the employer of record.

5. Limitation of Liability

In no event shall ChemSweep Solutions LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, regulatory fines, or personal injury, arising out of Customer's use of the platform.

ChemSweep's total cumulative liability shall not exceed the total amount paid by Customer in the twelve (12) months immediately preceding the event giving rise to the claim.

6. Customer Responsibility

• The accuracy and completeness of any chemical inventory, SDS, or hazard information entered or maintained in ChemSweep
• Physically verifying shelf and storage contents match system records
• Maintaining OSHA-required employee training, labeling, and recordkeeping independent of ChemSweep
• Deciding whether and how to act on information ChemSweep displays

7. Indemnification

Customer agrees to indemnify, defend, and hold harmless ChemSweep Solutions LLC from claims arising out of Customer's use of the platform, breach of these terms, or violation of applicable law.

8. Governing Law

This Waiver is governed by the laws of the State of North Carolina.

9. Severability

If any provision of this Waiver is found unenforceable, the remaining provisions remain in full force and effect.

10. Acknowledgment

By checking the acknowledgment boxes and creating a ChemSweep account, Customer confirms having read, understood, and agreed to this Liability Waiver, the full Terms of Service, and the Privacy Policy, and confirms having authority to accept these terms on behalf of Customer's office.
